$32 a share is Sazerac's all-cash offer for Brown-Forman Corporation (NYSE: BF-B), valuing the distiller at $15 billion and carrying a 23% premium to its recent closing price against an actual market cap of roughly $13 billion. Brown-Forman's board rejected the bid again, calling it "not actionable," after Sazerac sent a follow-up letter on July 24 directly to Class A shareholders (most of whom belong to the Brown family), having first made the offer on May 1.
The voting structure that forecloses outside pressure
Wolf Pen Branch, the Brown family's voting group, controls more than half of Brown-Forman's voting stock. No sale clears without the family's approval, regardless of what institutional shareholders prefer. Chairman Marshall Farrer said the company remains focused on its own strategic plan. Sazerac can mail more letters; this deal only moves if the Brown family decides it wants out.
What Sazerac put on the table
The bid carries financing from Wells Fargo and Apollo Global Management. Shareholders could elect cash or roll their stakes into the combined entity, which would rank as the second-largest spirits company in the world behind Diageo. Sazerac offered a dividend above Brown-Forman's current level and told shareholders it can deliver significant cost savings within two years without splitting up Brown-Forman's operations.
Sazerac's own numbers give the pitch credibility. Its sales grew at roughly 13% annually over the past three years, and it cut its debt-to-earnings ratio from 5 times down to 3 times. Its $6.6 billion in trailing revenue now exceeds Brown-Forman's roughly $5.1 billion.
Brown-Forman's three-year slide
Revenue has declined for three consecutive years. Jack Daniel's U.S. whiskey market share fell from 7.8% in 2021 to 6.7% last year. CEO Lawson Whiting announced in July he will retire once a successor is named. A separate merger process with Pernod Ricard collapsed in late April over deal terms, making this the second failed combination attempt in recent months.
