$95 per share. That is Prysmian SpA's all-cash offer for Atkore Inc. (NYSE: ATKR), valuing the electrical products maker at $3.8 billion at a 30% premium to the pre-announcement closing price. Atkore shares hit $93.60 intraday Monday, a new 52-week high, with the $1.40 spread to the offer price telling the market the deal is effectively done.
Deal structure and rationale
The definitive agreement calls for Prysmian to acquire all outstanding Atkore shares at $95 each in an all-cash transaction. Both companies' boards have approved the deal. Closing is targeted by year-end, subject to regulatory approvals.
Chairman Michael Shrock described the two companies as "highly complementary organizations" and said the combination would create a platform with greater scale and a more comprehensive product portfolio. For Prysmian, the acquisition expands its North American lineup with electrical infrastructure products and broadens its exposure to electrification and data center investment.
Q2 results: revenue climbs, earnings nearly vanish
Net sales for Q2 came in at $794.8 million, up 8% from $735 million a year earlier. Volume contributed $65.7 million to that gain, with higher average selling prices and foreign exchange tailwinds also lifting the top line. Divestitures pulled $39 million off in the other direction.
Net income collapsed 98.3% YoY to $745,000 from $42.96 million. A $50 million litigation charge tied to recent divestitures and activities related to the previously announced strategic review absorbed nearly all of operating profit.

Institutional footprint ahead of the announcement
Hedge fund participation had already been thinning. Insider Monkey data shows 37 funds held positions in Atkore in the first quarter of 2026, down from 41 in the prior quarter. Aggregate conviction fell 3% YoY to $417.7 million from $430.9 million, signaling institutional caution before Monday's bid arrived.
Atkore will pay a $0.33 per share dividend to shareholders of record as of August 18, 2026, with payment on August 28.
