Ultragenyx Pharmaceutical Inc. agreed to sell a Rare Pediatric Disease Priority Review Voucher for $210 million in cash, according to an 8-K filing with the U.S. Securities and Exchange Commission dated October 6, 2026. The company entered into an asset purchase agreement to transfer the voucher to an unnamed buyer, with the payment due upon the closing of the transaction.

The U.S. Food and Drug Administration awarded Ultragenyx the voucher on August 19, 2026, following the approval of GENGLYCOS (pariglasgene brecaparvovec-opnr), also known as DTX401. The therapy is indicated for adult and pediatric patients eight years and older with glycogen storage disease type Ia. Ultragenyx, based in Novato, California, reported the transaction on its Form 8-K, identifying itself as a registrant on the Nasdaq Global Select Market under the ticker RARE.

The sale proceeds are subject to an existing obligation under a patent license agreement with the U.S. Department of Health (NIH), dated December 10, 2018. Under that agreement, Ultragenyx must pay 20% of the gross proceeds from the voucher sale to the NIH after the transaction closes. The asset purchase agreement includes customary representations, warranties, covenants, and indemnification provisions, each subject to certain limitations.

The transaction is contingent on customary closing conditions, including the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. Howard Horn, Executive Vice President and Chief Financial Officer of Ultragenyx, signed the report on October 7, 2026. The full text of the asset purchase agreement will be filed with Ultragenyx's Annual Report on Form 10-K for the year ended December 31, 2026.
