Both share lots were held by escrow agent Chua Tze Ping under an escrow agreement dated March 27, 2026 and remain there as security until TGL issues a Final Payment Confirmation for each transaction. Default provisions are substantially identical across the two contracts. A buyer default entitles TGL to terminate, retain all payments received as liquidated damages, and reclaim the relevant shares. A TGL default requires the company to refund all payments received within 30 days.
Completion on both agreements is conditioned on Chua Tze Ping confirming the assignment is permitted under the March 2026 escrow arrangement (or consenting to it), agreeing to hold the shares under the revised terms, and executing a deed of assignment and consent.
