Riot Platforms, Inc. adopted an updated and revised Code of Ethics and Business Conduct on October 1, 2026. The Board of Directors approved the changes, which are effective immediately and apply to the company's principal executive officer, principal financial officer, principal accounting officer, and all other directors, officers, employees, contractors, consultants, and interns.
The amendments expand provisions on protecting company property and confidential information. Specifically, the new Code includes data, digital assets, and the use of artificial intelligence within these protective measures. The revisions also update procedures for disclosing and approving conflicts of interest and corporate opportunities.
Riot Platforms clarified that the Code does not limit any person's ability to report possible violations of law to governmental agencies or communicate with them. The company consolidated and enhanced procedures for reporting and raising concerns, including a description of the types of misconduct that should be reported.
Provisions regarding enforcement and non-retaliation were also revised. These changes include the escalation of reported violations and the disciplinary actions that may result from violations of the Code. Additionally, the company updated the procedures for approving waivers of the Code.
The filing states that no waivers were granted under the new rules for any part of the previous ethics code. The document notes that other technical, administrative, and non-substantive changes were also made.
