Future Money Acquisition Corporation (Nasdaq: FMAC) received a deficiency notice from The Nasdaq Stock Market LLC on September 22, 2026, citing its failure to file the Quarterly Report on Form 10-Q for the fiscal quarter ended July 31, 2026. The notification places the company in violation of Nasdaq Listing Rule 5250(c)(1), a standard that mandates listed firms to submit all required periodic reports to the Securities and Exchange Commission on time.

The company announced the receipt of the notice in a press release dated September 25, 2026. According to the notice, Future Money Acquisition has 60 calendar days from the date of receipt, or until November 23, 2026, to submit a plan to regain compliance with the listing rule. If Nasdaq approves this plan, the exchange may grant an exception of up to 180 calendar days from the original Form 10-Q filing due date, extending the compliance deadline to March 22, 2027. Should Nasdaq reject the proposed plan, the company retains the right to appeal the determination to a Nasdaq Hearings Panel.

Future Money Acquisition stated that it is working diligently to complete and file the delinquent Form 10-Q as soon as practicable. The company intends to take all necessary steps to restore compliance with Nasdaq listing rules. However, the press release explicitly notes that there is no assurance the company will complete these steps within the required period, that Nasdaq will accept the plan, or that any granted exception will be successfully met.

The company is a blank check entity incorporated as a Cayman Islands exempted company with limited liability. Its primary purpose is to combine with one or more businesses through transactions such as mergers, asset purchases, or reorganizations.

The announcement includes forward-looking statements regarding the anticipated timing of the Form 10-Q filing and the company's ability to regain compliance. These statements involve risks and uncertainties that could cause actual results to differ from expectations. Specific risks cited include those related to the completion of interim financial statements and the associated interim review, as well as the company's capacity to file within the anticipated timeframe and maintain continued listing compliance.

Investors are advised not to place undue reliance on these forward-looking statements. The company disclaims any obligation to publicly update or revise these statements to reflect changes in expectations or circumstances, except as required by law.
