Jennifer Johnson, Executive Vice President and Chief Administrative Officer of Apartment Investment and Management Company, notified the company of her intent to resign on October 1, 2026, effective November 1, 2026. The resignation is classified as for "Good Reason" under the company's Executive Severance Policy, a designation accepted by Aimco in connection with the diminution of her responsibilities and duties. This reduction in scope is linked to the Plan of Sale and Liquidation approved by Aimco shareholders on February 6, 2026.

Johnson's departure constitutes a severance-qualifying event following a "Change in Control" under the Executive Severance Policy and other compensation plans. This change in control is tied to the company's divestiture of assets as part of the approved liquidation plan. Consequently, she is eligible for payments and benefits under the Executive Severance Policy, a cash award letter agreement dated April 16, 2026, and applicable equity award agreements. To facilitate an orderly transition, Johnson agreed to remain available to Aimco as a consultant on an as-needed basis following her resignation. Her duties will include assisting with the transfer of her responsibilities and providing strategic advice on pending matters. The agreement specifies a limit of up to ten hours per month at an hourly rate of $750, plus reasonable expenses. Either Johnson or Aimco may terminate this consulting arrangement for any reason upon thirty days' written notice.
