(Nasdaq: SNPS) has entered into an accelerated share repurchase agreement to repurchase an aggregate of $1 billion of its stock.
The company announced the transaction on October 5, 2026, in a filing with the Securities and Exchange Commission. Under the agreement, JPMorgan Chase Bank, National Association, serves as the counterparty.
Synopsys will receive an initial delivery of approximately 1,735,000 shares. The remainder of the repurchase, if any, is scheduled to be settled on or before January 5, 2027.
The total number of shares Synopsys ultimately repurchases will depend on the average of the company's daily volume-weighted average share prices during the repurchase period, less a discount.
